SSC Bookkeeping Bridge End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between Office 11211 Corp, doing business as Shipping Store Consultants (“SSC,” “we,” “us,” or “our”), and the individual or entity that installs, accesses, or uses SSC Bookkeeping Bridge (“Customer,” “you,” or “your”). SSC Bookkeeping Bridge, including its installer, locally served dashboard, documentation, updates, and related components, is referred to in this Agreement as the “Software.”

By installing, accessing, activating, connecting, or using the Software, or by clicking a button indicating acceptance, you agree to this Agreement on behalf of yourself and, if applicable, the business or organization you represent. If you do not agree, do not install, connect, or use the Software.

1. Eligibility and Authority

The Software is intended for business use by retail shipping stores and related authorized professionals. You represent that you are at least 18 years old, have legal capacity to enter into this Agreement, and have authority to bind the business or organization for which you use the Software. You may connect or process data for a store, QuickBooks Online company, Zoho Books organization, point-of-sale system, or other account only if you are authorized to do so.

2. License Grant

Subject to this Agreement, any applicable order, proposal, subscription, or service agreement, and payment of applicable fees, SSC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable license term to install and use the Software in object-code form for your internal business purposes. The number of authorized stores, devices, users, or installations, if limited, will be stated in the applicable order, proposal, subscription, or service agreement.

The Software is licensed, not sold. SSC and its licensors retain all rights not expressly granted under this Agreement.

3. Description of the Software

The Software is a locally installed Windows application designed to help authorized users prepare and transfer consolidated daily accounting information from supported point-of-sale or bookkeeping source data to a bookkeeping platform selected by the user, such as QuickBooks Online or Zoho Books. Features may include backup discovery, source-data reading, account mapping, mapping suggestions, draft journal preparation, tender grouping, reconciliation, duplicate-prevention controls, local approvals, audit records, and user-authorized posting or verification.

Features may differ by version, license level, bookkeeping provider, operating environment, source-system configuration, or third-party platform availability. SSC may add, modify, suspend, or discontinue features as described in this Agreement.

4. Customer Responsibilities

You are responsible for:

  • ensuring that you have authority to access and process all source, store, bookkeeping, and connected-account data used with the Software;
  • maintaining lawful licenses and active accounts for Windows, your point-of-sale system, QuickBooks Online, Zoho Books, and any other third-party product required for your use;
  • selecting the correct source files, business dates, bookkeeping company or organization, chart-of-accounts mappings, tender treatment, taxes, adjustments, and posting settings;
  • reviewing all mappings, suggestions, reconciliations, journal lines, amounts, dates, references, and destination accounts before approving or posting them;
  • maintaining appropriate backups of source records, bookkeeping records, Bridge data, and other business records before using any feature that may create or change bookkeeping data;
  • protecting your computer, Windows account, network, backups, bookkeeping accounts, administrator access, and physical access to the device on which the Software is installed; and
  • complying with applicable accounting, tax, privacy, employment, consumer-protection, record-retention, and other laws and contractual requirements.

Where write features are enabled, your approval or confirmed action may cause the Software to create or modify accounts, journal entries, or other records in the selected bookkeeping platform. You are responsible for confirming the effect of each such action and for correcting or reversing any entry that you determine is inaccurate.

5. Automated Suggestions and Accounting Review

The Software may provide automated, rules-based, or assisted mapping suggestions based on source descriptions, industry patterns, existing mappings, or available chart-of-accounts information. Suggestions are provided for review and may be incomplete or incorrect. They do not replace the judgment of the business owner, bookkeeper, accountant, tax professional, or other qualified adviser. The Software will not be deemed to have selected an account or approved an accounting treatment merely because it displayed or prefilled a suggestion.

6. No Accounting, Tax, Legal, or Financial Advice

The Software is a data-preparation and transfer tool. SSC does not, through the Software, provide certified public accounting, audit, assurance, tax preparation, tax representation, legal, investment, lending, or regulated financial advice. Reports, mappings, journal previews, reconciliations, alerts, and suggestions depend on the data and settings provided or selected by you. You remain responsible for your books and records, tax filings, financial statements, compliance decisions, and consultation with appropriately qualified professionals.

7. Third-Party Platforms and Services

The Software may interoperate with services provided by third parties, including Intuit Inc. and its QuickBooks Online services, and Zoho Corporation or its affiliates and Zoho Books. Third-party services are governed by their own agreements, subscriptions, permissions, privacy policies, availability, and technical requirements. You authorize the Software to communicate with a third-party platform only when you choose to connect that platform and complete its authorization process.

SSC does not control and is not responsible for third-party services, data, outages, errors, changes, pricing, account restrictions, API limits, security practices, or decisions. A third-party provider may change or discontinue an API or may suspend or revoke access to its service. Loss of access to a required third-party service may limit or prevent use of part or all of the Software.

SSC, and not Intuit or Zoho, licenses and supports the Software. Intuit and Zoho do not provide support or warranties for the Software. The Software is not sponsored, certified, or endorsed by Intuit or Zoho unless expressly stated in writing by the applicable company.

8. Connected-Account Authorization

When you connect a bookkeeping platform, you authorize the Software to access the data and perform the operations described during the provider’s authorization flow and within the permissions you grant. You must not provide SSC or the Software with your QuickBooks, Zoho, online-banking, or other third-party account password. The Software may store encrypted OAuth tokens or similar authorization information to maintain the connection.

You may revoke future access using the connected-app or authorized-app controls offered by the applicable provider. Revocation may not delete information already stored locally, and it does not reverse or delete accounting entries previously created in a third-party platform.

9. Privacy and Customer Data

Our collection, use, storage, and disclosure of information associated with the Software is described in the Shipping Store Consultants Privacy Policy, including its SSC Bookkeeping Bridge Supplemental Privacy Notice. That policy is incorporated into this Agreement by reference for purposes of describing our data practices.

As between you and SSC, you retain your rights in data that you lawfully provide to or process through the Software (“Customer Data”). You grant SSC a limited right to process Customer Data only as reasonably necessary to provide, secure, maintain, troubleshoot, and support the Software; carry out your authorized instructions; enforce this Agreement; and comply with law.

You represent that you have all rights, notices, permissions, and lawful bases required to process Customer Data through the Software. Do not use the Software to process full payment-card numbers, card security codes, online-banking credentials, protected health information, Social Security numbers, or other information that the Software is not designed to process.

10. Local Data, Backups, and Deletion

The Software ordinarily stores its operating data locally on the Windows computer where it is installed. Local data may include settings, mappings, import records, prepared journals, approvals, posting history, encrypted provider tokens, and audit information. You are responsible for maintaining any backup or retention process appropriate for those records.

Uninstalling the Software may preserve local application data so that an update or reinstall does not destroy business records. If you intend to permanently remove local data, you must separately delete the applicable local application-data folder or use a deletion control made available in the installed version. Deletion may permanently remove mappings, audit history, approvals, connection information, and duplicate-prevention records. Retrieve or preserve any required records before deletion.

11. Restrictions

You may not, and may not permit another person to:

  • copy, distribute, sell, lease, sublicense, rent, or commercially exploit the Software except as expressly authorized in writing by SSC;
  • reverse engineer, decompile, disassemble, translate, or attempt to discover the source code or non-public structure of the Software, except to the limited extent applicable law expressly permits despite this restriction;
  • modify, create derivative works from, remove proprietary notices from, or misrepresent the source or ownership of the Software;
  • bypass, disable, defeat, or interfere with authentication, approval, confirmation, posting, licensing, security, audit, duplicate-prevention, or usage controls;
  • use the Software to obtain unauthorized access to a system, account, company, organization, file, or data set;
  • introduce malware, conduct security testing without written authorization, or use the Software in a manner that disrupts SSC or a third-party platform;
  • use the Software for unlawful, fraudulent, deceptive, infringing, or abusive purposes; or
  • use the Software to build or support a competing product by copying its non-public features, workflows, or materials.

12. Ownership and Feedback

SSC and its licensors own the Software, documentation, designs, workflows, code, interfaces, branding, and all associated intellectual-property rights, excluding Customer Data and third-party materials. Third-party components may be subject to separate license notices.

If you voluntarily provide suggestions or feedback about the Software, you grant SSC a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation, provided SSC does not identify you publicly as the source without permission.

13. Fees and Taxes

Fees, billing terms, license limits, renewal terms, and refund terms, if any, will be stated in the applicable order, proposal, subscription, invoice, or service agreement. Unless otherwise stated in writing, fees are non-refundable to the extent permitted by law. You are responsible for applicable sales, use, excise, and similar taxes, excluding taxes based on SSC’s net income. Third-party subscriptions and charges are your responsibility.

14. Updates, Maintenance, and Changes

SSC may provide patches, updates, upgrades, or replacement versions. An update may be required to maintain security, compatibility, or access to third-party services. Unless separate terms accompany an update, this Agreement applies to it. SSC may change or discontinue the Software or a feature, but will use reasonable efforts to provide notice of a material discontinuation when practicable.

You acknowledge that source systems, data formats, Windows, QuickBooks Online, Zoho Books, and other dependencies may change without SSC’s control and may require maintenance, an update, or a temporary suspension of functionality.

15. Support

SSC, and not any third-party bookkeeping provider, is responsible for customer and technical support for the Software. Unless a separate written service agreement states otherwise, support is provided on a commercially reasonable basis during SSC’s published business hours and does not include guaranteed response times, custom development, accounting advice, repair of source data, or support for third-party products.

16. Confidentiality

Each party may receive non-public business, technical, or financial information from the other that reasonably should be understood as confidential. The receiving party will use such information only for the relationship contemplated by this Agreement and will protect it using reasonable care. This obligation does not apply to information that the receiving party can demonstrate was lawfully known without restriction, received lawfully from another source, independently developed without use of the confidential information, or made public without breach of an obligation.

A receiving party may disclose confidential information when legally required after providing notice where legally permitted. This section does not replace any stronger confidentiality obligation in a separate written agreement.

17. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SSC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

SSC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY SOURCE FILE OR THIRD-PARTY SERVICE, OR THAT IT WILL IDENTIFY EVERY ERROR, DUPLICATE, MISMATCH, CANCELED TRANSACTION, PROCESSOR ADJUSTMENT, OR ACCOUNTING ISSUE. SSC DOES NOT WARRANT THAT ANY MAPPING, JOURNAL, RECONCILIATION, REPORT, OR SUGGESTION IS COMPLETE OR APPROPRIATE FOR YOUR BUSINESS.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SSC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS OPPORTUNITY, GOODWILL, OR DATA; BUSINESS INTERRUPTION; COST OF SUBSTITUTE SERVICES; OR THIRD-PARTY CLAIMS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SSC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO SSC FOR THE SOFTWARE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

The exclusions and limitations in this section apply regardless of the form of action and will not limit liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions or limitations, so some of them may not apply to you.

19. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless SSC and its owners, officers, employees, contractors, and affiliates from claims, liabilities, damages, judgments, penalties, losses, and reasonable costs and attorneys’ fees arising out of or related to: (a) Customer Data or your lack of authority to process it; (b) your breach of this Agreement; (c) your unlawful, fraudulent, or unauthorized use of the Software; (d) accounting entries, mappings, settings, or instructions selected or approved by you; or (e) your violation of another person’s rights or applicable law. SSC will provide reasonable notice of a covered claim and may participate in its defense. You may not settle a claim in a manner that admits fault by or imposes an obligation on SSC without SSC’s written consent.

20. Term and Termination

This Agreement begins when you first accept, install, access, connect, or use the Software and continues until terminated. You may terminate it by ceasing use, disconnecting connected platforms, and uninstalling the Software. SSC may suspend or terminate your license if you fail to pay applicable fees, materially breach this Agreement, create a security or legal risk, misuse the Software or a third-party service, or if continued availability is prohibited or made impracticable by law or a third-party platform.

Upon termination, your license ends and you must stop using the Software. Before termination or deletion, you are responsible for retrieving or preserving any Customer Data and records you need. If termination is based solely on nonpayment and SSC controls Customer Data that is not already available to you locally, SSC will provide reasonable notice and an opportunity to retrieve that data before deletion, unless law, security, or a third-party platform requires earlier action.

Termination does not automatically remove locally stored Bridge data or reverse entries already created in a bookkeeping platform. Sections that by their nature should survive termination will survive, including ownership, restrictions, fees owed, privacy and data obligations, confidentiality, disclaimers, liability limitations, indemnification, dispute provisions, and general terms.

21. Export Controls and Sanctions

You may not use, export, re-export, transfer, or make the Software available in violation of United States export-control, trade-sanctions, or import laws. You represent that you are not prohibited from receiving the Software under applicable law and will not use it for a prohibited end use.

22. Governing Law and Venue

This Agreement is governed by the laws of the State of New York, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any legal action arising out of or related to this Agreement or the Software must be brought exclusively in the state or federal courts located in New York, New York, and each party consents to their personal jurisdiction and venue. This section does not prevent either party from seeking appropriate emergency or injunctive relief.

23. Changes to This Agreement

SSC may update this Agreement to reflect changes in the Software, third-party requirements, law, security practices, or business operations. The updated version will be posted with a revised effective date. Where required by law or appropriate for a material change, SSC will provide an additional notice or request renewed acceptance. Continued use after an updated Agreement becomes effective constitutes acceptance to the extent permitted by law.

24. General Terms

Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. You may not assign or transfer this Agreement or the license without SSC’s written consent. SSC may assign this Agreement in connection with a merger, acquisition, sale of assets, reorganization, or change of control. If any provision is held unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will remain effective. A waiver must be in writing and is not a continuing waiver. Headings are for convenience only.

This Agreement, together with any applicable order, proposal, subscription, or service agreement, constitutes the entire agreement concerning the license to the Software and supersedes prior or contemporaneous discussions about that license. If there is a conflict, a separately signed agreement controls only to the extent it expressly states that it overrides this Agreement. Third-party terms continue to govern third-party services.
